Wholesale Public Offer Agreement


This Wholesale Public Offer Agreement (“Agreement”) is a legally binding contract between Beauty Ninja (hereinafter referred to as the “Supplier”) and any legal entity or individual entrepreneur that submits a wholesale application and/or places a wholesale order (hereinafter referred to as the “Client”). By submitting the wholesale application form and/or placing an order, the Client unconditionally accepts and agrees to be bound by the terms and conditions set forth herein.

 

 

1. Subject of the Agreement

1.1. The Supplier undertakes to sell, and the Client undertakes to purchase, the Supplier’s products on wholesale terms, in accordance with the conditions established by this Agreement.
 1.2. The present Agreement constitutes a public offer within the meaning of applicable commercial law and shall be deemed accepted by the Client upon submission of the wholesale application form or placement of the first wholesale order.

 

 

2. Eligibility and Approval

2.1. Access to wholesale pricing is granted exclusively to Clients approved by the Supplier.
 2.2. The Supplier reserves the right to request additional information, refuse or revoke wholesale access at its sole discretion without obligation to provide justification.

 

 

3. Wholesale Tiers and Pricing

Tier 1 — Starter

  • Minimum order value: USD 500

  • Discount: 25%

Tier 2 — Growth

  • Minimum order value: USD 1,000

  • Discount: 30%

Tier 3 — Pro

  • Minimum order value: USD 3,000

  • Discount: 35%

Tier 4 — Exclusive Partner

  • Minimum order value: USD 5,000 and above (subject to separate agreement)

  • Discount: 40%

3.1. Orders may consist of mixed brands (including but not limited to Spa Treatment, Myufull, Axxzia).
 3.2. The Supplier may provide promotional bonuses or gifts in lieu of additional discounts.
 3.3. All wholesale prices are subject to change at the Supplier’s sole discretion.

 

 

4. Payment Terms

4.1. All wholesale orders are subject to 100% prepayment.
 4.2. Payment shall be deemed completed only upon receipt of funds in the Supplier’s designated bank account or payment system.
 4.3. Orders will not be processed or shipped until full payment has been received.

 

 

5. Shipping and Delivery

5.1. All shipping costs shall be fully borne by the Client, regardless of the order value.
5.2. The Supplier undertakes to dispatch goods within three (3) to five (5) business days following confirmation of full payment.
5.3. The risk of loss or damage to goods transfers to the Client upon delivery of goods to the carrier.

 

6. Returns and Claims

6.1. Wholesale orders are non-returnable and non-refundable, except in cases of confirmed product defects or damage in transit.
 6.2. All claims regarding product defects, shortages, or damages must be submitted in writing within five (5) business days of receipt of goods.
 6.3. Each return or refund request shall be reviewed on an individual basis. The Supplier reserves the right to approve or reject such requests at its sole discretion.

 

 

7. Governing Law and Jurisdiction

7.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Beauty Ninja is legally registered.
 7.2. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the competent courts at the Supplier’s place of registration.

 

 

8. Final Provisions

8.1. This Agreement constitutes the entire agreement between the Supplier and the Client and supersedes all prior understandings or communications.
 8.2. The Supplier reserves the right to amend these Wholesale Terms & Conditions at any time. The updated version shall take effect from the moment of publication on the Supplier’s official website.
 8.3. By submitting the wholesale application form and/or placing a wholesale order, the Client confirms full acceptance of these Terms without reservations or exceptions.
